Practitioner & Sales Agreement
This Agreement is between the health care professional (“PRACTITIONER”) and Vibrant Blue Oils, LLC (“VIBRANT BLUE OILS”).
By registering for the VIBRANT BLUE OILS Practitioner Program (“PROGRAM”) PRACTITIONER agrees to be bound by the following terms and conditions (“Terms of Service”).
Practitioner Program Terms of Service
In consideration of the mutual promises and covenants herein, VIBRANT BLUE OILS and PRACTITIONER (“Parties”) do hereby agree by the terms set forth below. Please read these terms carefully, as they constitute a legal and binding agreement between the PARTIES.
VIBRANT BLUE OILS reserves the right to update and amend the Terms from time to time without notice. Continued use of the PROGRAM after any such changes shall constitute PRACTITIONERS consent to such changes.
Please note that creation of an account with VIBRANT BLUE OILS Practitioners PROGRAM grants VIBRANT BLUE OILS permission to keep you updated of promotions & policy changes via email, phone, or mail.
VIBRANT BLUE OILS has the right to terminate a PRACTITIONER account for any reason, anytime, at our discretion. Violation of any of the terms below will result in the termination of your account.
VIBRANT BLUE OILS is a producer and wholesale supplier of natural health products, which are marketed worldwide under the VIBRANT BLUE OILS product line and brand name (“PRODUCTS”), and the PRODUCTS require exclusive distribution through a licensed healthcare professional.
PRACTITIONER wishes to purchase from VIBRANT BLUE OILS and VIBRANT BLUE OILS wishes to supply to PRACTITIONER, the PRODUCTS for the benefit of PRACTITIONER’s health care practice, patients, and/or clients.
It is in the mutual interests of VIBRANT BLUE OILS and PRACTITIONER to restrict all 3rd Party Internet sales of VIBRANT BLUE OILS PRODUCTS, and PRACTITIONER acknowledges, understands, agrees to VIBRANT BLUE OILS’s “No 3rd Party Internet Sales Policy” and has also informed all staff members and purchasers of this policy. “3rd Party Internet Sales” is defined as the use of any and all electronic medium not owned by PRACTITIONER for the sale of VIBRANT BLUE OILS PRODUCTS. This includes online auction sites, bid sites, and any other properties not owned by PRACTITIONER.
PRACTITIONER will not offer VIBRANT BLUE OILS PRODUCTS for sale below the advertised pricing that is advertised by VIBRANT BLUE OILS. This pricing is available on the VIBRANT BLUE OILS website (shop.vibrantblueoils.com) and is subject to periodic change without notice.
PRACTITIONER shall conduct their business in a reasonable and ethical manner at all times and shall not engage in any deceptive, misleading, or unethical practices or advertising at any time. PRACTITIONER shall not make any warranties or representations concerning the PRODUCTS except as expressly authorized by VIBRANT BLUE OILS. PRACTITIONER shall comply with all applicable laws, rules, regulations, and policies (a) applicable to your business and/or (b) related to the marketing and sale of the PRODUCTS. PRODUCTS shall be represented in a professional manner and refrain from any conduct that is or could be detrimental to the reputation of VIBRANT BLUE OILS or the PRODUCTS. PRACTITIONER shall not advertise PRODUCTS not carried in inventory. PRACTITIONER shall only purchase PRODUCTS from VIBRANT BLUE OILS.
GENERAL REQUIREMENTS FOR ACCEPTANCE
- PRACTITIONER must be a licensed practitioner in one of any number of functional, holistic, or other healthcare-related fields.
- PRACTITIONER must be actively providing services to a client base either in person or virtually
- PRACTITIONER must be in compliance with our Terms of Service
- Health Coaches must hold a certification from The National Board for Health & Wellness Coaching (NBHWC) along with proof of an active private practice. An active website is required for proof of private practice.
- Certification must be emailed to su*****@vi*************.com
- PRACTITIONER shall not disclose VIBRANT BLUE OILS pricing on the Internet or supply VIBRANT BLUE OILS PRODUCTS to any resellers or retailers.
- Must place minimum combined orders(s) totaling $500 annually to maintain active status and receive discounted PRACTITIONER Pricing.
ENROLLMENT
After receiving your application, we will review the information submitted and notify you of your acceptance into our PROGRAM via email. Please allow up to 5-7 business days for your application to be reviewed. We reserve the right to reject any application, however, we encourage you to contact us if it is felt that we have made an incorrect decision.
AUTHORIZED PRACTITIONERS
As a Wholesale PRACTITIONER, you will receive a 40% discount on all PRODUCTS. You also have access to our Practitioners Section on our membership site classes.vibrantblueoils.com which contains information about PRODUCTS, as well as suggestions for how to incorporate our PRODUCTS into your practice. Login information is delivered to you at the email address provided upon registration.
PRACTITIONER is authorized to sell PRODUCTS ONLY TO END USERS IN THE UNITED STATES AND CANADA. An “End User” is any purchaser of the PRODUCTS who is the ultimate consumer of the PRODUCTS and who does not intend to resell the PRODUCTS to any third party. PRACTITIONER shall not sell or transfer PRODUCTS to any person or entity who intends to resell the PRODUCTS to any third party. PRACTITIONER shall not sell or transfer PRODUCTS to any individual in quantities greater than that typically purchased for personal use. PRACTITIONER shall not sell, ship, or promote the PRODUCTS outside the United States of America without VIBRANT BLUE OILS’ prior written consent.
PRACTITIONER SHALL NOT RESELL, SELL, MAKE ANY REFERENCE TO PRICES/PRICING OR DISTRIBUTE ANY OF THE PRODUCTS USING THE INTERNET, ANY INTERNET SITE OR ANY OTHER ELECTRONIC MEDIUM OR DEVICE WITHOUT VIBRANT BLUE OILS’ PRIOR WRITTEN APPROVAL. The term “Internet Site” shall include, but is not limited to, any World Wide Web site, USENET, newsgroup, bulletin board, server or other online service at any electronic domain name, address or location, or any other form of online service or other forms of electronic commerce whatsoever.
AUTHORIZED ONLINE SELLING
ONLY WHEN WRITTEN APPROVAL IS RECEIVED to offer PRODUCTS for sale Online, the following guidelines are required to be followed:
- A Permissible Public Website is a website or mobile application that:
- Is operated by you in your legal name or registered fictitious name
- Is not a third-party storefront on an online marketplace (including, but not limited to, Amazon, eBay, Facebook Marketplace and Walmart Marketplace) and
- Is operated in compliance with the VIBRANT BLUE OILS, Website Restrictions listed below (which VIBRANT BLUE OILS may amend from time to time)
- Your participating website must:
- Include any and all legal requirements for a website such as a privacy policy, health disclaimers, terms of use, terms of sale and refund policy. This list is not exhaustive and it is the PRACTITIONER’s responsibility to comply with all state and federal laws governing websites.
- Price All PRODUCTS per unit only (not in bulk quantities).
- Regularly update inventory and remove out-of-stock PRODUCTS.
- Have a clear graphical design, with high-quality graphic presentation and adequate search and navigation capabilities, including keyword and brand search functions; contain all content necessary for the customer to make a decision to buy; provide a shopping cart or similar feature in which a customer may remove items and make adjustments to quantities and sizes while obtaining a clear statement of all charges (including shipping costs and taxes); and furnish customers with an order confirmation number after the submission of a completed order, which, at a minimum, allows the customer to track purchased PRODUCTS through PRACTITIONER’s customer service department.
- Have a mechanism for receiving customer feedback, and PRACTITIONER shall use reasonable efforts to address all customer feedback and inquiries received in a timely manner, not to exceed seventy-two (72) hours after inquiry. PRACTITIONER agrees to provide copies of any information related to customer feedback (including any responses to customers) related to PRACTITIONER’s sale of the PRODUCTS to VIBRANT BLUE OILS for review upon request. PRACTITIONER agrees to cooperate with VIBRANT BLUE OILS in the investigation of any negative online review associated with PRACTITIONER’s sale of the PRODUCTS and to use reasonable efforts to resolve any such reviews. PRACTITIONER shall maintain all records related to customer feedback for at least one year following the creation or submission of such a record, to the extent legally permitted. Nothing in this paragraph shall be construed to require PRACTITIONER to disclose identifying information about its customers to VIBRANT BLUE OILS.
- Comply with all applicable privacy, accessibility, and data security laws, regulations, and industry standards. Website shall provide customers with a secure transaction form using encrypted-data streams or other secure encryption technology, maintaining a high standard of transaction security as technology advances. PRACTITIONER shall have dedicated information systems personnel, web programming personnel, or both.
- Your participating website(s) must not:
- Infringe on our or any anyone else’s intellectual property, publicity, privacy or other rights.
- Violate any law, rule or regulation.
- Contain any content that is defamatory, obscene, threatening, harassing, harmful to minors, or contains nudity, pornography or sexually explicit materials.
- Contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information.
- Contain software or use technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website. This includes toolbars, browser plug-ins, extensions, and add-ons.
- In any way copy, resemble, or mirror the look and feel of our Website. You will also not use any means to create the impression that your Website is our Website or any part of our Website including, without limitation, framing of our Website in any manner.
- Engage in cookie stuffing or include pop-ups, false or misleading links on your website. In addition, wherever possible, you will not attempt to mask the referring URL information (i.e. the page from where the click is originating).
- Use redirects to bounce a click off of a domain from which the click did not originate in order to give the appearance that it came from that domain.
- Non Website Requirements:
- Anonymous sales are prohibited. PRACTITIONER’s full legal name or registered fictitious name, mailing address, email address, telephone contact, and hours of operation must be stated conspicuously on the Websites AND must be included with any shipment of PRODUCTS or in an order confirmation email sent at the time of purchase.
- PRACTITIONER must have systems for all fulfillment to its customers who order PRODUCTS, any applicable taxes associated with such purchases of PRODUCTS, and any returns of PRODUCTS.
- PRACTITIONER shall process and ship each customer order within forty-eight (48) hours of order placement, and shall furnish the customer with information or access to information regarding the expected arrival of any back-ordered items within forty-eight (48) hours of order placement by the customer; the customer should have the option to cancel the order upon notice of back-order.
- PRACTITIONER shall provide a return policy and credit system, which is reasonable and adequate for customers to return merchandise and receive credit for items purchased.
- Except where PRACTITIONER has entered into a drop-shipment arrangement with VIBRANT BLUE OILS whereby VIBRANT BLUE OILS ships PRODUCTS on PRACTITIONER’s behalf to customers who order PRODUCTS through Permissible Public Websites, under no circumstances shall you permit orders to be fulfilled in any way that results in the shipped PRODUCT coming from stock other than PRACTITIONER’s.
- At VIBRANT BLUE OILS’ request, PRACTITIONER will reasonably cooperate in demonstrating and/or providing access to, and copies of, all web pages that comprise the Permissible Public Websites.
PRACTITIONER SHALL NOT PURCHASE “VIBRANT BLUE OILS” OR THE NAME OF ANY OF THE PRODUCTS AS GOOGLE ADWORDS, NOR ANY OTHER ONLINE ADVERTISING PLATFORM OR SERVICE, INCLUDING, BUT NOT LIMITED TO, FACEBOOK, YAHOO SHOPPING, AMAZON ADS, TWITTER, INSTAGRAM, PINTEREST, AND THE LIKE.
VIBRANT BLUE OILS RESERVES THE RIGHT TO ENFORCE ITS STATUTORY RIGHTS TO RECOVER DAMAGES AGAINST PRACTITIONER FOR TRADEMARK INFRINGEMENT.
The approvals referenced above may be withdrawn, rescinded, and/or revoked by VIBRANT BLUE OILS at any time for any reason or no reason at all at VIBRANT BLUE OILS’ exclusive and unfettered discretion.
PRACTITIONER’s failure to comply with the aforementioned items regarding this Policy will result in, among other things, the immediate termination of the Parties’ Practitioner & Sales Agreement, and will subject PRACTITIONER to all damages, costs, and fees available to VIBRANT BLUE OILS under the Practitioner & Sales Agreement and Washington state law.
INTELLECTUAL PROPERTY
a. PRACTITIONER acknowledges and agrees that VIBRANT BLUE OILS own all proprietary rights in and to the Vibrant Blue brand, names, logos, trademarks, service marks, trade dress, copyrights, and other intellectual property related to the PRODUCTS (the “Vibrant Blue Oils IP”). You are granted a limited, non-exclusive, non-transferable, revocable license to use the VIBRANT BLUE OILS IP solely for purposes of marketing and selling the PRODUCTS as set forth herein. This license will cease upon termination of your status as an authorized PRACTITIONER. All goodwill arising from your use of the Vibrant Blue Oils IP shall inure solely to the benefit of VIBRANT BLUE OILS or its licensors.
b. PRACTITIONERS use of the Vibrant Blue Oils IP shall be in accordance with any guidelines that may be provided by VIBRANT BLUE OILS from time to time and must be commercially reasonable as to the size, placement, and other manners of use. VIBRANT BLUE OILS reserves the right to review and approve, in its sole discretion, your use or intended use of the Vibrant Blue Oils IP at any time, without limitation. In marketing the PRODUCTS, you shall only use images of PRODUCTS either supplied by or authorized by VIBRANT BLUE OILS and shall ensure that all PRODUCT images and descriptions are accurate and up to date.
c. You shall not create, register, or use any domain name, social media screenname, or mobile application name that contains any Vibrant Blue Oils product name or any trademark owned by or licensed to Vibrant Blue Oils, nor a misspelling or confusingly similar variation of any Product name or any trademark owned by or licensed to VIBRANT BLUE OILS.
d. You may not, whether by Yourself or anyone on Your behalf, copy, modify, alter, adapt, translate, reverse engineer, decompile, or disassemble any portion of the products.
Your failure to comply with the provisions set forth herein may result in the suspension or blocking of your Account and may also expose you to civil and/or criminal liability.
UNILATERAL MINIMUM ADVERTISED PRICE POLICY (UMAP)
Under the UMAP Policy, PRACTITIONER may not advertise in any media, e.g., television, radio, newspapers, magazines, catalogs, direct mail pieces and flyers or on any Internet sites for any discount off MSRP (retail prices) indicated on the VIBRANT BLUE OILS website. This policy is inclusive of all advertising including on all third-party internet sites and/or pages that name or direct traffic to you such as search engines, e.g., Amazon ® Google®, Yahoo™, etc. The current retail price list is available on the VIBRANT BLUE OILS website.
It is inconsistent with the UMAP Policy for such PRODUCTS to be advertised together at a single price that is lower than the sum of the individual UMAP Prices for those PRODUCTS. Advertised rebates, other than those offered directly to consumers by VIBRANT BLUE OILS, are not consistent with the UMAP Policy if the advertised net price (including the advertised rebate) for the PRODUCT is below the UMAP Price. Any advertisement that depicts a UMAP PRODUCT, with or without a price associated with it, and offers, expressly or by implication, to sell the depicted PRODUCT(s) at a discount that is clearly below the UMAP Price, is also inconsistent with this policy, e.g., 50% off all PRODUCTS, Buy One Get One Free.
It is VIBRANT BLUE OILS’s intention and policy not to deal with any PRACTITIONER that advertises VIBRANT BLUE OILS PRODUCTS at prices that are below the UMAP Price. It is the decision of the retailer to advertise at any price they choose, as long as it is not less than the UMAP Price.
If there is a violation of the UMAP Policy there will be consequences, up to and including suspension or termination of the business relationship with VIBRANT BLUE OILS and revocation of the PRACTITIONER PROGRAM.We believe that our policies are clear and unambiguous. PRODUCT CARE, CUSTOMER SERVICE, and OTHER QUALITY CONTROLS
PRACTITIONER shall comply with the VIBRANT BLUE OILS. PRODUCT Care, Customer Service, and Other Quality Controls, as listed below:
1. Comply with all instructions provided by VIBRANT BLUE OILS regarding the storage, handling, shipping, disposal, or other aspect of the PRODUCTS, including instructions provided on PRODUCT labels. Store PRODUCTS in a cool, dry place, away from direct sunlight storing between 59 to 86 degrees Fahrenheit (15 degrees and 30 degrees Celsius). Failure to properly store PRODUCTS as directed by VIBRANT BLUE OILS is a violation of this Brand Protection Policy and may result in termination of PRACTITIONER PROGRAM status.
2. Sell PRODUCTS in their original packaging. Relabeling, repackaging (including the separation of bundled PRODUCTS or the bundling of PRODUCTS), and other alterations to PRODUCTS or their packaging are not permitted.
3. Do not remove, translate, or modify the contents of any label or literature on or accompanying the PRODUCTS. Do not tamper with, deface, or otherwise alter any serial number, UPC code, batch or lot code, or other identifying information on PRODUCTS or their packaging. Do not dilute PRODUCTS.
4. Do not resell any PRODUCT that has been returned, opened or repackaged.
5. Promptly upon receipt of the PRODUCTS, inspect the PRODUCTS and their packaging for damage, defect, broken seals, evidence of tampering, or other nonconformance (a “Defect”). If any Defect is identified, do not offer the PRODUCT for sale and promptly report the Defect to VIBRANT BLUE OILS at su*****@Vi*************.com.
6. Be familiar with all PRODUCTS marketed for sale and obtain sufficient PRODUCT knowledge to advise customers on the selection and proper use of the PRODUCTS, as well as any applicable guarantee or return policy.
7. Be available to respond to customer questions and concerns both before and after sale of the PRODUCTS and respond to customer inquiries promptly. Provide reasonable customer service hours of operation.
8. Ensure that any third-party logistics provider engaged to store inventory of or fulfill orders for the PRODUCTS is aware of and complies with all PRODUCT quality controls and customer service standards described herein or otherwise conveyed by VIBRANT BLUE OILS. Ensure that any such third-party logistics provider stores all inventory of PRODUCTS segregated by seller such that no PRODUCTS provided to the third-party logistics provider are commingled with those owned by any third party. VIBRANT BLUE OILS reserves the right to request additional information regarding the use of third-party logistics providers and such information must be provided promptly to VIBRANT BLUE OILS. Cooperate with VIBRANT BLUE OILS in investigating any concerns related to the PRODUCTS that may relate to the use of a third-party logistics provider.
9. Cooperate with VIBRANT BLUE OILS with respect to any PRODUCTS tracking systems that may be implemented from time to time.
10. Cooperate with VIBRANT BLUE OILS with respect to any PRODUCT recall or other consumer safety information dissemination efforts.
11. Implement commercially reasonable loss prevention and anti-diversion measures. Notify VIBRANT BLUE OILS promptly in the event of a theft or other loss of a material quantity of PRODUCTS.
12. Report to VIBRANT BLUE OILS any customer complaint or adverse claim regarding the PRODUCTS and assist VIBRANT BLUE OILS in investigating any such complaints or adverse claims.
13. Cooperate with VIBRANT BLUE OILS in the investigation and resolution of any quality or customer service issues related to the sale of the PRODUCTS, including disclosing information regarding PRODUCT sources, shipment, and handling.
SHIPPING POLICY
VIBRANT BLUE OILS™ strives to ship all PRODUCTS within 1-3 business days. PRODUCTS are shipped from Florida, United States. High order volumes can lead to extended shipping and processing times.
Shipments are not insured. We will not be able to provide assistance if your package is lost, stolen, or undelivered. In the event of a delivery anomaly, you will need to work directly with the shipping company for resolution.
We will gladly drop-ship from our warehouse to your customers at no additional charge.
If you would prefer to send customers directly to VIBRANT BLUE OILS, an Affiliate Program is available.
Domestic
Orders over $150.00 being shipped within the U.S. qualify for FREE SHIPPING. VIBRANT BLUE OILS will strive for orders to be delivered within 10 business days, but may take longer due to unforeseen circumstances and are not guaranteed by the carrier or VIBRANT BLUE OILS.
International
Orders outside of the U.S. are initially shipped by FedEx, UPS, or USPS. Packages may be transferred to your country’s local carrier. Shipping rates are calculated at the time of your order, and shipping times vary depending on destination and size of order.
Please Note:
Processing time in customs may delay the estimated arrival time.
Import duties, taxes, and other fees are not included in the item price or shipping cost. These charges are the buyer’s responsibility. Please check with your country’s customs office to determine what these additional costs will be prior to placing your order.
VIBRANT BLUE OILS is not responsible in the event of damage, delays, loss, or theft during transit. Claims must be filed with the carrier. If the package is ineligible for a claim or the claim is denied, VIBRANT BLUE OILS is not responsible for providing compensation.
Although VIBRANT BLUE OILS ships to many countries worldwide, there are shipping restrictions which are outside of our control. Because of that, there are several countries to which we do not ship. Upon checkout, if desired country is not available in our shipping dropdown, that means we are unable to ship there.
ORDER ERRORS
Any order errors — including mis-shipments, missing items, damaged items, packages marked delivered but not received, etc. — must be reported within 30 days of order delivery to receive resolution or correction.

If PRACTITIONER is enrolled in the PROGRAM and participate in PPC advertising, they must adhere to our PPC guidelines as follows:
- PRACTITIONER may not bid on any of our *trademarked terms (which are identified below), including any variations or misspellings thereof for search or content based campaigns on Google, MSN, Yahoo, Facebook, or any other network.
- PRACTITIONER may not use our trademarked terms in sequence with any other keyword (i.e. “VIBRANT BLUE OILS Coupons”).
- PRACTITIONER may not use our trademarked terms in your ad title, ad copy, display name or as the display URL.
- PRACTITIONER may not use any of our *trademarked terms as part of the domain or subdomain for your website
- Use of any of our *trademarked terms as part of your social handle is strictly prohibited i.e. facebook.com/VIBRANTBLUEOILS-deals

REVERSAL & COMMUNICATION POLICY
We reserve the right to reverse orders due to order cancellations, duplicate tracking, returns, disputed charges, and PROGRAM violations as outlined in these terms and conditions. If we ask for clarification or for more information on any orders or clicks that we suspect may be in violation of our terms and conditions, we expect that PRACTITIONER will respond in a timely and honest manner. Below are violations of our communications policy. If any of the following apply, then we reserve the absolute right to reverse orders or suspend PRACTITIONER from the PROGRAM.
- PRACTITIONER is not forthcoming, intentionally vague or are found to be lying.
- PRACTITIONER is responsive within a reasonable time period.
